We are seeking a highly motivated and detail-oriented Corporate Governance & Securities Paralegal to join our legal team. This role will support corporate governance, securities compliance, and public company reporting, working closely with in-house counsel, executives, and external stakeholders. The ideal candidate will have experience in public company compliance, securities filings, and corporate governance best practices. Additionally, this role will focus on implementing new processes, improving efficiencies, and organizing corporate records and filings.
The Opportunity:
Corporate Governance & Compliance
Prepare corporate governance documents and materials related to the Board of Directors and Board Committees, including agendas, minutes and resolutions, and manage the distribution of materials via our electronic Board portal.
Maintain corporate records, including charters, bylaws, and governance policies.
Support compliance with corporate governance requirements under SEC, NYSE/Nasdaq, and other applicable regulations.
Assist with coordination of annual shareholder meetings, including preparing proxy materials.
Conduct research on corporate governance trends, best practices, and regulatory updates.
Develop and implement new processes, including charter and policy review processes to enhance corporate governance efficiency and organization.
Organize, maintain, and improve accessibility of corporate documents, filings, and compliance records.
Securities & Regulatory Compliance
Assist in preparing and filing SEC reports, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 filings (Forms 3, 4, and 5).
Ensure compliance with insider trading policies by tracking and reporting stock transactions for Section 16 insiders. Develop and implement a streamlined process for ongoing communication with team members regarding quarterly blackouts, equity transactions, and related compliance requirements.
Maintain and update corporate ownership records, including stock ledgers and equity compensation documentation.
Assist in responding to securities law inquiries from internal and external parties.
Identify opportunities to streamline securities compliance processes and improve document management by implementing technology solutions to optimize compliance workflows.
Assist in developing and implementing company-wide training programs on governance best practices, insider trading compliance, and other key regulatory policies to promote strong culture of compliance and ethical business practices.
Who We Look For:
3+ years of experience as a corporate governance or securities paralegal, and board support preferably in a public company or law firm setting.
Strong knowledge of SEC reporting requirements, corporate governance practices, and public company compliance.
Experience managing board governance activities, including preparing board materials, drafting resolutions, and maintaining governance documentation.
Proficiency with SEC EDGAR, Workiva, Boardvantage, ComputerShare, Diligent, or other corporate governance platforms is a plus.
Exceptional attention to detail and ability to manage multiple priorities in a fast-paced environment.
Ability to think rigorously, analyze complex legal and regulatory issues
Excellent written and verbal communication skills.
A demonstrated track record of gaining trust and ability to work independently while communicating directly with compassion and collaborating effectively with cross-functional teams to achieve alignment and drive results.
