As Board Management, Lead at Interac Corp., you will oversee board operations for Canada’s domestic debit card network, all the while gaining exposure to dynamic areas of corporate governance within the financial services and FinTech environment.
We are looking for a self-motivated, responsible team player with demonstrated maturity, sound judgement and discretion who can lead board operations and logistics at Interac. Interac requires someone with exceptional organizational and interpersonal skills.
In this role, you will report to the Head, Deputy General Counsel and Assistant Corporate Secretary and will work collaboratively with a close-knit governance team of sharp, solution-oriented professionals to oversee corporate governance matters at Interac. You will manage the corporate secretarial function and processes relating to Interac’s Board of Directors and assist with all logistical elements of Interac’s board operations, including organizing board meetings and preparing meeting packages.

Taking ownership of all board-related processes (including documented meeting preparation procedures) and ensuring they are properly completed within specified deadlines
Crafting clear, concise articulate and timely communications and materials (including presentation decks) with an appropriate level of detail and tone in consultation with senior management
Confidently managing relationships with internal stakeholders to promote awareness of and adherence to established board procedures
Recording minutes of board and committee meetings, ensuring appropriate interpretation and documentation of proceedings and resolutions in support of an accurate account of meetings
Maintaining files of all correspondence, meeting notes and reports for timely retrieval of information
Creating and overseeing the meeting schedule for the board and keeping track of recurring and ad hoc board matters
Serving as the primary liaison and point of contact for board members and internal stakeholders on board matters, coordinating responses to issues as they arise and ensuring that reports and material put forward to the board are complete and aligned with board and committee requirements.
Assisting in preparing the regulatory requirements and disclosure for the annual meeting of shareholders
Managing the board portal including by providing assisting to internal stakeholders and board members on access, distribution and notification of sensitive board materials
Contributing to the orientation of new board members by enabling access to the portal, arranging appropriate training and delivery of materials and setting up meetings with senior management
Overseeing the logistics of the director education program, including facilitating director surveys, consolidating and preparing survey results and developing program content
Identifying and recommending process improvements to enhance productivity and operational efficiency
Who are you?
You have a minimum 5 years’ related experience, preferably at a major public Canadian company or financial institution
Must be eligible to work for Interac Corp. in Canada in a Full Time Capacity
You have excellent analytical, process management and problem-solving skills with ability to draw conclusions and present solutions
You have strong organizational and time management skills with the ability to manage multiple priorities in a dynamic, fast-paced, deadline-oriented environment
You are meticulous, diligent, and attentive to details with the ability to produce high quality work under pressure
You have strong interpersonal, a high degree of emotional intelligence and excellent communication skills with sound judgement, with particular awareness of tone and relationship management
You are technologically savvy with the ability to leverage technological tools to enhance process efficiency and build reports as necessary, proficient with Microsoft Office Suite (Outlook, Word, Power Point, Excel, Power BI, MS Teams) and are familiar with portal functionality, including the ability to interact appropriately and knowledgeably with Board members and senior management
You exercise judgement when dealing with sensitive situations requiring professionalism and diplomacy
You are attuned to and are able to handle confidential and sensitive matters
You can independently manage competing priorities with sensitivity to internal stakeholders and deadlines
You have demonstrated maturity, sound judgement and discretion and an ability to maintain the confidentiality of sensitive material and information You have a proven ability to solve problems independently and a willingness to tackle new challenges and upgrade skills when require
You have strong meeting/event planning skills and an ability to lead virtual and in-person meetings
