Director, Corporate Affairs

We are looking for a Director, Corporate Affairs to contribute to the success of ongoing projects. Reporting to the Vice President, Legal Affairs, this position requires a presence at the Quebec City office three days a week.
Responsibilities:
- Actively contribute to acquisition, financing, and strategic partnership files by aligning the group's legal and commercial objectives;
- Oversee corporate secretarial activities for the parent company and its subsidiaries, ensuring compliance with applicable laws and best governance practices
- Develop, update, and oversee the application of corporate policies and procedures;
- Ensure the implementation and maintenance of export control policies within the group;
- Manage the portfolio of commercial insurance plans to protect the group's assets and operations
- Administer and oversee stock option and purchase plans in collaboration with stakeholders
- Collaborate with external counsel for the effective management of strategic legal matters;
- Support the implementation of various operational projects in collaboration with internal and external teams.
- Other duties as assigned
Qualifications/Education:
- Member of the Quebec Bar
- Bilingual in French and English, with excellent communication skills.
Experience/Skills:
- Five or more years of relevant experience
- Experience in the context of acquisitions of international companies and groups (an asset).
- Excellent analytical, business judgment, and problem-solving skills.
- Strong business acumen and entrepreneurial spirit.
- Excellent organizational skills, attention to detail, and ability to prioritize.
- Proven leadership, with strong persuasion and negotiation skills.
- High level of autonomy, initiative and collaborative approach focused on teamwork
- Intermediate knowledge of Microsoft Office (Word, Excel, PowerPoint and Outlook)
Work Environment:
- Works in a general office environment
- Occasional domestic and/or international travel
