Role

WHAT YOU’LL DO:

We are seeking a General Corporate Counsel to join our team to assist the CoolIT in this next phase of growth. We are looking for someone who has a can-do, get-it-done mindset and who enjoys working in a fast-paced environment. This role will report to the CEO and will be integral to the success of the company.

Responsibilities

  • Provide legal guidance and support on corporate matters, including corporate governance, compliance, and corporate transactions.
  • Draft, review, and negotiate a wide range of contracts, with a focus on commercial agreements, licensing agreements, and patent-related contracts.
  • Manage patent portfolios related to manufacturing processes and products, including patent prosecution, maintenance, and enforcement, to ensure effective protection of intellectual property rights.
  • Provide legal support and advice related to IP and product development. Driving IP strategy and serve as a subject matter expert in the commercialization of IP, navigating complex IP issues, and supporting commercial technology transactional work including advising on compliance with relevant laws, regulations, and industry standards.
  • Prosecution of patent and trademark applications, including supervision of outside counsel for those activities.
  • Provide legal advice on the procurement, development, maintenance, and enforcement of IP matters, including patents, trademarks, copyrights, and trade secrets.
  • Apply effective risk management techniques and offer proactive advice on possible legal issues including employment law matters.
  • Provide representation as required at law hearings and other judicial proceedings.
  • Support acquisitions and divestitures work where required.

Basic Qualifications

  • Law degree qualified in Alberta or other Canadian Province or a degree from an accredited American law school.
  • Active membership in good standing with the Law Society of Alberta or other Canadian Province or relevant state Bar association.
  • Minimum of 7 years of experience practicing law with a focus on corporate law, contracts, and patent law, preferably in a corporate legal department or law firm.
  • Proven experience in mergers and acquisitions, including conducting due diligence, drafting transaction documents, and advising on regulatory compliance.
  • Experience in patent law, including patent prosecution, licensing, and enforcement, is highly desirable.

Preferred Qualifications

  • Experience with human resources and labor relations.

  • Excellent analytical, communication, and negotiation skills, with the ability to provide clear and practical legal advice to internal stakeholders.
  • Demonstrated ability to work independently, manage multiple projects simultaneously, and thrive in a fast-paced environment.
  • Strong contract management knowledge
